TERMSOF PARTICIPATION
Source My Garment 30-Day Challenge
Please READ carefully. By purchasing or enrolling in this Challenge, these Terms and
Conditions are entered into by Shop Virtue and Vice Consulting, LLC, d/b/a A Look Behind The Seams (“Company,” “we,” or
“us”) and You (“Client,” “You”). Company and Client may be referred to
individually as a “Party” and collectively as the “Parties.”
By completing your purchase and/or enrolling in the Source My Garment 30-Day Challenge, You acknowledge that You have read, understood, and agreed to be bound by these Terms of Participation.
PROGRAM DESCRIPTION - SOURCE MY GARMENT 30-DAY CHALLENGE
The Company agrees to provide access to the Source My Garment 30-Day Challenge (the “Program” or “Challenge”), as identified on the applicable sales, checkout, or enrollment page at the time of purchase.
The Challenge is a fixed-duration, cohort-based educational program designed to guide Members from a product idea to a sourced sample over a 30-day period, through daily lessons, live coaching calls, templates, and community support.
The Challenge begins on the applicable cohort start date designated by the Company (for example, “Doors Open” or enrollment-open dates communicated on the sales page). Because the Challenge is delivered on a live, cohort basis, content is
intended to be consumed alongside other Members during the active 30-day
period.
As a condition of participation, You agree to abide by all policies and procedures set forth in this Agreement, including those incorporated by reference.
WHAT IS INCLUDED
As part of the Source My Garment 30-Day Challenge, and subject to the plan tier purchased (Basic or VIP, as described below), the Company shall provide the following during the active Challenge period:
1. Daily Lessons and Checklists
• One (1) daily lesson delivered with an accompanying task, designed to take approximately 30 minutes per day to complete.
• Lessons progress through four phases: Design Prep,
Fabric Sourcing, Finding a Garment Factory, and the Sampling Process.
• Completion of daily tasks is the responsibility of the
Member; the Company does not guarantee that a Member's garment will be fully
sourced by the end of the 30-day period, as outcomes depend on Member effort,
responsiveness, and external factors (see Disclaimer below).
2. Custom Supplier List (Fabric and Factory Sourcing)
• A supplier list (15 suppliers total) intended to reflect the Member's brand and product needs, drawn from suppliers the Company has pre-vetted, covering both fabric sourcing and garment factory sourcing.
• Suggested suppliers may include those accepting low minimum order quantities (MOQs), where available.
• All information required for fabric and factory sourcing (including but not limited to product specifications, quantities, target price points, and other brand-specific requirements) must be submitted
accurately and in full by the Member within sixty (60) days of the Member's Challenge start date. The Company is not responsible for delays, inaccuracies, or omissions in the supplier list resulting from information submitted late, incomplete, or inaccurate.
• The Company does not guarantee that any listed supplier will agree to work with a given Member, that pricing or MOQs will remain unchanged, or that any supplier relationship will result in a successful order.
3. Simplified Tech Pack
• The Company's team will prepare one (1) simplified tech pack per Member, intended to assist in communicating design specifications to a
factory or supplier.
• All documents and information required for the tech pack (including but not limited to design specifications, measurements,
sketches, and any other requested materials) must be submitted accurately and
in full by the Member within sixty (60) days of the Member's Challenge start
date.
• Tech pack preparation is contingent on the Member timely submitting complete and accurate design information as requested by the Company. The Company is not responsible for delays, errors, or omissions in the tech pack resulting from documents or information submitted late, incomplete,
or inaccurate, and is under no obligation to prepare or deliver the tech pack if the required documents and information are not submitted within the 60-day window.
• The Company does not guarantee that any factory or supplier will accept or be able to execute the tech pack as provided.
4. Live Coaching Calls
• Two (2) live group coaching calls held during the active Challenge period.
• Live call recordings will be posted within
approximately twenty-four (24) hours for Members to view as a replay for 90
days.
• The Company reserves the right to reschedule, modify, combine, or adjust the timing of live calls as needed.
5. Daily Check-Ins and Community Support
• Daily email check-ins during the active Challenge period.
• Access to a private forum or group chat to share work for peer and Company support and feedback.
• The Company reserves the right to moderate, restrict, or remove access to the community space at its sole discretion.
6. Templates and Swipe Files
• Supporting templates, including a development/sourcing tracker spreadsheet and outreach templates, intended to help Members organize suppliers, fabrics, and timelines.
BASIC AND VIP PLAN TIERS
The Challenge is offered in two tiers: Basic and VIP.
• The Basic plan includes all items described in the “What Is Included” section above.
• The VIP plan includes everything in the Basic plan, plus upgraded chat support, as further described at checkout.
The price of the Program is $2,500.00. Where a VIP plan with upgraded chat support is offered at a $3,000, that price will be as stated on the sales/checkout
page at the time of enrollment.
CONTENT ACCESS PERIOD
Members will have access to Challenge content (including replays, lessons, and templates) for ninety (90) days from the date the Member's Challenge cohort starts.
After the 90-day access period ends, Members have the option to extend access at a discounted rate ($300 per month), as made available by the Company. The
Company does not guarantee that an extension option will remain available
indefinitely or at any particular price.
Because the Challenge is delivered live and on a cohort basis, the Company encourages
Members to consume content in step with their cohort; delaying participation may reduce the value of live components such as coaching calls and community
discussion, which are time-bound to the active cohort.
PROGRAM EXCLUSIONS
The Program does not include:
• Private 1:1 consulting or coaching beyond the live group coaching calls described above
• Done-for-you sourcing, negotiation, or production services
• Guaranteed outcomes, suppliers, pricing, minimum order quantities, or production results
• Legal, financial, or investment advice
• Placement of purchase orders, payments to factories/suppliers, or management of the Member's supplier relationships on the Member's behalf
DISCLAIMER
Client understands that Melanie DiSalvo and The company are not employees, agents,
lawyers, doctors, therapists, accountants, financial advisors, or business
managers.
The Company
does not promise to:
• Procure sales, suppliers, factories, or business opportunities
• Manage Client's business operations
• Provide legal, tax, or financial advice
• Act as a publicist or PR representative
• Introduce Client to the Company's full network
• Guarantee that any supplier, factory, or sample process will be completed within the 30-day Challenge period
The Program is educational only. Results depend entirely on Client effort, experience,
responsiveness, and external market factors, including the independent
decisions of third-party suppliers and factories not controlled by the Company.
PROGRAM FEES AND PAYMENT
In consideration for access to the Program, You agree to pay a fee of $2,500.00
for the Basic plan. Where a VIP plan is purchased instead, the applicable VIP
price is $3,000.
All fees are due as scheduled at checkout. Failure to make timely payment (where a payment plan applies) may result in suspension or termination of access without refund.
NO REFUNDS / NO EXCHANGES
ALL SALES ARE FINAL. There are no refunds, exchanges, or credits under any circumstances, including but not limited to early withdrawal from the Challenge,
non-participation, missed live calls, non-use of the Program, or dissatisfaction with results, except where required by applicable law.
Once access to the Challenge has been granted, the Program is considered delivered.
EFFECT OF ACCESS ENDING
Upon expiration of the 90-day content access period (and any extension period the Member elects to purchase), or upon termination by the Company for cause, Client's access to Program content, templates, the private community, and any associated tools will end.
Former Members are not entitled to regain access to Program content unless and until they either purchase an available extension or re-enroll in a future Challenge cohort, subject to availability.
AUTHORIZATION & PAYMENT CONSENT
By completing enrollment, Client:
• Authorizes the Company to charge the payment method provided for the applicable Challenge fee (and, where applicable, any scheduled installment payments)
• Confirms that Client is the authorized cardholder or has permission to use the payment method
• Acknowledges that the transaction is for a fixed-duration digital educational program and associated digital assets
Client agrees that this Agreement, purchase and billing confirmations, access logs, IP logs, and delivery records may be submitted as evidence to payment processors, banks,
and card networks to contest disputes, including disputes over charges made for
an active, delivered Challenge enrollment.
INTELLECTUAL PROPERTY
All Program materials, including lessons, prompts, tech pack templates, supplier lists,
trackers, recordings, and other educational content, are the exclusive intellectual property of the Company and are protected by copyright and trademark laws.
Members are granted a limited, non-exclusive, non-transferable, revocable license to use Program materials for personal business use only, for as long as the Member's access period (including any purchased extension) remains active.
Members may not:
• Share, resell, sublicense, or distribute Program content
• Reproduce or modify materials for commercial redistribution
• Use content to train competing AI systems
Violation of this section will result in immediate termination of access without refund.
CONFIDENTIALITY
Members agree to maintain the confidentiality of:
• Program content
• Other participants' information
• Proprietary methods, supplier data, and resources
TERMINATION BY COMPANY
The Company reserves the right to terminate Member access at its sole discretion, without refund, if the Member:
• Violates these Terms
• Disrupts the Program or other participants
• Engages in misuse of materials or intellectual property
• Fails to make timely payment of any amount due under a payment plan, where applicable
Termination does not relieve Client of payment obligations already accrued as of the date of termination.
DISPUTE RESOLUTION & ARBITRATION
Any dispute arising out of or relating to this Agreement shall be resolved exclusively
through binding arbitration in Florida,
in accordance with the rules of the American Arbitration Association.
The Parties waive the right to trial by jury. Florida law shall govern this Agreement.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, the Company shall not be liable for any direct,
indirect, incidental, consequential, or punitive damages arising out of
participation in the Program.
Client's sole remedy is to discontinue participation in the Program in accordance with the terms above.
MODIFICATION
The Company may update these Terms at any time. Updated Terms will be posted on the Company website and/or enrollment portal and will apply prospectively.
FINAL ACKNOWLEDGMENT
By enrolling in the Source My Garment 30-Day Challenge, You acknowledge that:
• You understand this is a fixed-duration, 30-day cohort Challenge, not a recurring membership
• You accept that all payments are final and non-refundable
• You understand that Challenge content, replays, and templates are accessible for 90 days from Your cohort's start date, with an
option to extend at a discounted rate afterward
• You understand the difference between the Basic and VIP plans and have selected the plan reflected at checkout
• You understand that the custom supplier list and simplified tech pack are prepared based on information You provide, and are not guarantees of any particular supplier relationship or production outcome
• You must submit all required documents and information for the tech pack, and all required information for fabric and factory
sourcing, accurately and in full within sixty (60) days of Your Challenge start date, or the Company may be unable to deliver these items
• You understand the Program price is $2,500.00 (or the applicable VIP price of $3,000)
• You are responsible for your own outcomes
• You agree to arbitration in Florida
